Full Job Description

Our customer, a UK financial technology company is looking for a Commercial Lawyer from a Banking/Financial Services background for a 3-6 month contract.

Requirements:

Qualified solicitor holding a practising certificate with the ability to practice in England & Wales. You will have at least 5 years of experience working with commercial contracts in a Financial Services environment (ideally a bank).

Skills and Experience:

  • Skilled in composing, negotiating, and providing counsel on various commercial agreements, including subcontracting and back-to-back arrangements.
  • Proficient in handling payments, banking regulations, outsourcing principles, and compliance standards, with a focus on incorporating these aspects into the creation of customer, supplier, and product terms.
  • Possesses a strong grasp of fundamental regulatory and contractual concepts such as contract formation, indemnification, liability frameworks, and consequential loss.
  • Demonstrates exceptional problem-solving abilities and meticulous attention to detail.
  • Familiarity with Data Protection laws and regulations.
  • Experience in foreign exchange, multicurrency products, and understanding of IP/IT and related regulatory frameworks is advantageous.
  • Good understanding of key contractual principles (e.g., contract formation, indemnities, consequential loss, liability regimes and outsourcing)
  • Good understanding of corporate/commercial issues
  • Working knowledge of relevant UK financial services
  • Awareness of payment systems, retail banking and consumer finance
  • Awareness and/or working knowledge of the UK regulatory ecosystem (nice-to have)


Responsibilities:

  • Crafting and bargaining agreements encompassing a diverse range of contracts involving customers, partners, and suppliers. This includes overseeing similar tasks carried out by junior team members.
  • Providing guidance to stakeholders on the commercial and regulatory dimensions of contracts, ensuring comprehensive advice is extended to the broader business by the legal department.
  • Assisting with corporate governance matters and adapting to regulatory changes when necessary. Offering counsel on laws, regulations, and scheme prerequisites related to payments, including scrutinizing, drafting, and negotiating terms and conditions. Additionally, providing guidance and backing internal initiatives and task forces.
