  • JOB TITLE:  Corporate Lawyer
  • LOCATION(S):  Edinburgh
  • HOURS:  Full-time
  • WORKING PATTERN:  Our work style is hybrid, which involves spending at least two days per week, or 40% of our time, at one of our office sites.

This is an exciting opportunity to join the Corporate and M&A legal team as a mid-level lawyer. The team provides corporate legal advice and strategic support on a range of matters including acquisitions and disposals, equity investments, joint ventures, intra-group reorganisations and transactions, company secretarial and corporate governance matters, corporate disclosure and financial reporting requirements. Our team prides itself on providing practical, efficient, solution-focused advice, with support from external law firms where appropriate.

What you’ll need
  • Providing legal advice to internal clients ensuring compliance with legal and regulatory requirements and balancing legal risk with commercial need
  • Drafting documentation which is legally compliant and protects the Group’s interests
  • Assisting the instruction and management of panel law firms and development of positive relationships with external lawyers
  • Navigating the numerous key corporate legal requirements applying to the Group, particularly the Companies Act, Listing Rules, Market Abuse Regime and Takeover Code
  • Assisting with and negotiating transaction documentation in conjunction with internal clients such to manage and mitigate legal risk, in line with market practice
  • Challenging, advising and influencing the business on legal issues and developments to protect the interests of the Group and deliver on its purpose
  • Reporting on legal and governance practices and applicable codes and recommending solutions as required
  • Assisting with coordination of legal workstream activity on projects and collaborating effectively with colleagues in other teams on relevant legal, regulatory and governance issues
  • Participating in legal and commercial negotiations with third parties to help deliver advantageous outcomes
  • Developing relationships with key internal clients and colleagues

So what about you!

You'll be a UK-qualified lawyer with at least 4 years’ PQE. Experience of in-house environment and financial services is preferred, but not crucial. You'll have experience from private practice advising on a range of corporate and company law matters including acquisitions and disposals, corporate finance matters including Fintech equity investments, joint ventures, intra-group reorganisations and other transactions. You’ll be able to work collaboratively in a team, delivering at pace with a passion for continuous learning and development
