Full Job Description

Our client is one of the UK’s leading developers, owners and operators of utility- scale battery energy storage. They also have experience developing, building and operating wind and solar projects, both independently and in partnership with others. Our client has operations in the UK, France, New Zealand, Poland and Germany.


About the Role

As a Legal Counsel reporting to the General Counsel, you will play a crucial role in handling a diverse range of corporate and commercial legal matters. The ideal candidate will have a strong background in Corporate and/or Commercial law, preferably with at least 2 years of Post-Qualification Experience (PQE) gained within an international Law Firm.

Key responsibilities

  • Draft, review and support negotiations on commercial and procurement contracts;
  • Advise on UK and cross-border M&A transactions, corporate reorganisations and JVs, debt
  • financing & refinancing;
  • Manage UK and European external legal advisers in relation to a variety of legal matters;
  • Provide legal support to various business departments on day-to-day operations;
  • Assist and support in-house Governance function re compliance with applicable laws,
  • regulations, and industry standards, including data protection, intellectual property, and
  • consumer protection laws;
  • Conduct legal research and analysis to stay abreast of relevant legal developments and provide
  • proactive advice to mitigate risks and capitalise on opportunities; and
  • Assist in the resolution of legal disputes and claims, including liaising with external counsel as necessary.


Qualifications:

Mandatory:

  • Qualified Commercial/Corporate solicitor with the right to practice in England & Wales;
  • 2+ Years PQE;
  • Experience managing UK and/or European M&A transaction(s);
  • Experience advising on & negotiating procurement and supplier contracts;
  • Excellent analytical, communication, and interpersonal skills, with the ability to effectively collaborate with stakeholders at all levels of the organisation; and
  • Ability to work independently, be responsive to deadlines, manage multiple priorities and thrive in a fast-paced environment.

Preferred:

  • Experience in working for/with Listed companies, and an understanding of the UK Public Company regulatory environment (including Investment Trusts);
  • Experience in the UK Infrastructure and/or Renewable Energy sector(s); and
  • In-house experience (either full time or on secondment), including management of external legal counsel.
