Private Equity Associate (3-5 PQE)

Full Job Description

We are supporting an elite US law firm with a mid-level Associate (3-5 PQE) hire for their private equity team. They consistently rank high in the market for advising on high value deals and are engaged by leading investment houses for guidance on multi-billion dollar transactions.

The team advises across all stages of the investment cycle as well as directly supporting portfolio companies on issues that arise under P.E ownership. Reputationally, the Private Equity team hold themselves to the highest of standards and as such, the bar is high when it comes to hiring.

Successful candidates will have a breadth of private equity experience on UK, European and global transactions. The team is made up of home-grown talent and Associates hired from other top tier private equity practices, either from the London market or similar common law jurisdictions.

The experience the Partners are specifically looking for includes:

• Drafting and negotiating locked box and/or completion accounts (SPAs)
• Management incentive documents for European MIPs
• Co-investor termsheets and shareholders’ agreements
• Supervision of more junior Associates on NDAs, engagement letters, disclosure letters, diligence reports and other ancillary documents.
• Structuring of P.E transactions with the confidence to review and comment on structure papers, funds flows and finding documents.

Whilst there are a handful of mid-level Associate roles in private equity teams across the London market, this team are known for their excellence in the market and a culture that safeguards their high levels of staff attrition.
