What you’ll be doing…
Legal Counsel Duties:
- Draft, review, negotiate, and advise on a wide variety of commercial agreements including licensing agreements, SAAS, consulting and partnership arrangements, supply and procurement contracts, service agreements and NDAs across multiple jurisdictions in the healthcare space. li>Serve as the lead in-house legal advisor across all business units, advising on legal issues related to contract performance, regulatory compliance, employment, data protection (e.g., GDPR), intellectual property, and cross-border transactions. li>Ensure compliance with all relevant corporate, commercial, and regulatory laws. li>Oversee and manage all legal risk, litigation and disputes across global operations, and support regulatory filings and internal audits as required. li>Collaborate with and manage external counsel across different countries, ensuring efficient and cost-effective legal services. li>Develop and roll out global legal policies, templates, and training materials to ensure legal awareness and compliance across regions. li>Provide strategic legal advice to support business objectives and risk appetite.
Company Secretarial Duties:
- < i>Work with stakeholders including private equity investors, auditors, and regulators. li>Act as Company Secretary for the UK entity and provide oversight/governance support for overseas subsidiaries. li>Ensure ongoing compliance with the UK Companies Act 2006 and equivalent corporate regulations internationally. li>Manage the governance framework for all group entities, including maintaining statutory registers, coordinating board and shareholder resolutions, preparing and filing statutory and regulatory documents, and handling director appointments. li>Organise and minute board committee meetings for the UK and provide secretariat support to global subsidiaries as needed. li>Assist with group restructuring, intercompany transactions, and international expansions from a legal and governance perspective. li>Work closely with tax, finance, and compliance teams to support global entity management and corporate reporting.
What we’re looking for.
- li>ICSA/CGI-qualified Company Secretary or strong demonstrable experience in company secretarial functions. Minimum 10 years PQE, ideally with experience supporting international businesses, ideally including in-house experience. li>Strong background in commercial law, contract negotiation, and corporate governance across multiple jurisdictions. li>Experience with private equity environments and the legal nuances of listed companies. li>Good understanding of global legal entity management and cross-border legal compliance. li>Proven ability to assess legal risk in a commercial context and offer practical solutions. li>Confident communicator with the gravitas to advise senior stakeholders and board members.

As Legal Counsel, you will report into head of legal and take on a generalist in-house role, with a heavy focus on client commercial contracting. You will support the Group on all domestic and international legal matters. You will partner with key stakeholders in the business to provide legal support and advice to achieve resolution of legal issues in the group’s best interests.
You will also have the opportunity to collaborate with head of legal and the Group’s wider corporate governance team and develop and maintain global legal policies, templates and training materials to ensure awareness of legal processes and compliance across the Group.

CBRE requires a business focussed Legal Counsel to support its Global Workplace Solutions ("GWS") Enterprise Accounts Division in the Europe, Middle East, and Africa ("EMEA") region.
The role entails a full range of legal, risk and governance issues which affect and are integral to facilities management and project services contracts. More specifically, the role will support the Data Centre Services (DCS) division in GWS.
What You'll Do
- As a member of the legal team, is responsible for all aspects of legal work, including contract reviews, drafting, and governance, this role requires high attention to detail, organisation, commercial insight, communication skills, determination and flexibility to support the different business needs.
- Duties will be to assist other Legal Counsels in the team, and members of the business with the contractual aspects involved in the sales and bidding processes - e.g., carrying out contract reviews and summaries, negotiating, assisting with internal approvals, and drafting mark-ups or commentary on client contracts at all stages of the contract lifecycle.
- Put in place Local Country Agreements (LCAs) that sit under our global Master Services Agreements (MSAs). The LCAs are made between the CBRE local entity or affiliate and the client's local entity. This entails reviewing the MSA to determine whether there are any local jurisdictional or legal issues that need to be covered off or addressed in the LCA. For example, signing/execution formalities, pricing/payment terms, employee issues and insurance provisions all potentially have a local law nuance that needs to be captures in the LCA.
- The role also requires extensive stakeholder management in multiple jurisdictions, liaising with other regional Legal teams, Transition teams and in-country ops, pricing and commercial teams to ensure the LCAs reflect the local pricing and scope.
- Supports all aspects of deal negotiation, terms, and conditions of complex outsourcing and project management contracts, also providing input with regard to the commercial elements of the deals where they impact the legal provisions (e.g., pricing, service levels, governance, audit, exit, etc.).
- Keeps abreast of trends and changes in the laws in EMEA affecting the business and proactively communicate them to the business.
- Provides legal advice on an "ad hoc" basis in response to steady-state or business as usual contract queries and disputes and other legal issues as they arise.
- Has the ability to isolate complex legal issues and to provide prompt, concise and commercially focused legal advice, while balancing risks and benefits and being able to communicate these issues effectively.
What You'll Need
- Qualified in England and Wales, registered and currently practising lawyer with a minimum of 3 years PQE.
- A demonstrable track record of broad based commercial and contractual law experience and good knowledge of contract and commercial law.
- Knowledge of Data Protection regulations.

**What you'll do:**
SAP is looking for a commercial lawyer to support all legal matters affecting the SAP business in the United Kingdom. The lawyer will work as a member of the SAP UK team, (six colleagues) and will be based in the SAP offices in Clockhouse Place, Bedfont Road, Feltham, Middlesex, TW14 8HD.
The required legal advice will range across cloud, software licensing and consulting contracts, and general legal topics. This role would particulary suit a commercial lawyer from within the Technology Services industry.
The successful candidate will:
+ Report to the Head of the UK Legal team and Deputy Regional General Counsel in EMEA.
+ Be part of the UK legal team and as part of the SAP Global Legal. You will work closely with the UK business and UK legal team.
+ Be primarily responsible for legal work to one of the UK sales divisions.
+ Act as the primary negotiator for complex commercial contracts with SAP customers and partners and provide trusted legal advice to SAP's management.
+ Ensure that company business strategies are applied in recognition of legal implications and risks.
+ Ensure that all contracts are in compliance with SAP's legal, contractual and business processes and policies.
+ Report legal disputes, legal aspects of customer escalations, and interact with outside counsel as necessary.
+ Contribute to the overall success of SAP's business and be recognised as a business partner with an understanding of SAPs business objectives and cloud strategy.
+ Build strong stakeholder relationships and partner with account executives and sales managers and the wider SAP team such as Finance, Commercial and Revenue Recognition.
+ Work closely with the SAP's Office of Ethics & Compliance, and ensure an appropriate level of internal governance is in place in relation to transactions and other business activities.
+ Understand and work according to the commercial pressures of a sales business in a high-pressure environment.
**What you bring:**
+ A qualified English lawyer with excellent working knowledge of Contract and IT Laws with 2-5 years post admission experience.
+ Excellent communication, negotiation and drafting skills.
+ IT and IP legal experience.
+ Working knowledge of Data Privacy and Data Protection Laws such as GDPR.
+ Experience in negotiating commercial contracts with customers/partners.
+ Works well with the other UK lawyers who are expected to support and operate as a team.
+ Ability to thrive in a dynamic environment and cope well with pressure (including quarter end pressures).
+ Works independently and creatively (whilst keeping critical stakeholders informed), collaborates well with different parts of the global organisation and responds effectively to SAP's sales and management teams
