The primary responsibility of the **Technology Data Privacy Legal Counsel** is, in conjunction with the Senior Data Privacy Director and other members of the Data Privacy team, to help Diageo leverage data as a strategic and commercial asset. This role provides strategic guidance on new technologies; advising business users and key partners within Digital & Technology.
The Technology Data Privacy Legal Counsel will have deep working knowledge of fast-developing technologies in the context of data privacy, as well as an ability to deliver commercially-minded advice on the implementation of new technologies within Diageo's ecosystem. The successful person will operate at a strategic and operational level, requiring an ability for pro-active strategic thinking to identify creative solutions to challenges and high levels of credibility to deliver complex messages in a nuanced, clear and persuasive manner. They will use their legal understanding to ensure the business is well advised of the options open to it: explaining legal concepts in plain English; adapting advice to the specific audience; working autonomously and taking initiative.
They will need good interpersonal and influencing skills; being flexible in their approach to supporting different priorities and be confident to support with presentations and training sessions on data privacy and protection implications of new technologies / potential data uses, to diverse audiences. They will partner with market representatives from legal, Data & Technology teams, Global Data Privacy & Operations, to ensure that consumer data privacy standards are implemented effectively globally.
The successful candidate will work as part of the Data Privacy team, establishing and maintaining the following capabilities:
**Support the establishment and maintenance of a fit-for-purpose data privacy capability within Diageo Digital & Technology team and the global privacy function.**
The Technology Data Privacy Counsel will work with others to ensure appropriate policies, frameworks, processes and procedures are in place globally regarding the collection, use, storage and management of data within Diageo's Digital & Technology teams. This will include working with the Senior Data Privacy Director towards the right organisation and capabilities to:
(i) enable Diageo's digital transformation;
(ii) ensure compliance with relevant laws, regulations, guidance and best-practice;
(iii) establish a global approach to building data savvy capability within and throughout Diageo, including training and assessment (as needed); and
(iv) further building data privacy capabilities to shape and align with Diageo's commercial, brand and digital transformation agenda, and to ensure Diageo has a fit-for-purpose data compliance environment globally.
**Shaping the future**
The Technology Data Privacy Legal Counsel will be results-driven to assist in ongoing development of the following within the Digital & Technology function: (i) data management to facilitate compliant and secure collection and processing of data; (ii) the normalisation of data usage and data sharing; and (iii) making informed decisions on how to improve future business outcomes. The role will also include working to ensure that Diageo has a strong reputation amongst key stakeholders (e.g., employees, customers, consumers and regulators) for being responsible custodians of data.
**Effective Cost Management**
Ensure delivery of cost-effective legal support in context of business objectives and current risk environment; responsible for end-to-end legal spend and seek to eliminate unnecessary costs by optimising use of internal and external legal resources.
**Key Responsibilities:**
+ Advise on legal and reputational matters within Digital & Technology.
+ Work closely with the data team on key data projects, ensuring the legal advice reflects the specific technologies and how they work.
+ Deliver training on new and / or developing technologies in the context of data privacy, across various business units.
+ Conduct horizon scanning for regulatory updates and policy shifts, especially in relation to data privacy, data governance and developing technologies (including AI/ML and PET); communicating this legal research to a range of senior partners.
+ Draft and advise on complex data protection-related documentation, including documentation relating to data transfers and privacy impact assessments for technology use-cases.
+ Engaging in the drafting, negotiating and reviewing of DPAs and / or DP clauses in key strategic technology-related contracts.
+ Lead complex privacy reviews and negotiations in the technology space, as they relate to data. Liaise with multiple business functions as appropriate.

**Experience:**
+ Qualified Lawyer in an EU member-state or the UK, or deep and wide-ranging experience in global technology data privacy matters.
+ Ability to assess new technologies comfortably.
+ Significant experience advising on, and understanding of, data privacy and protection in the context of new and developing technologies, including in relation to AI/ML, PET and the ability to understand differences between specific technological implementations.
+ Significant experience in big data, data lakes and data governance in big data programmes.
+ Demonstrable interest in understanding how technology works to deliver highly effective data privacy advice.
+ 5+ years of legal practice in data privacy, gained in-house, or in a law firm.
+ In-depth knowledge of global protection and privacy laws and best practices within a technology context.
+ Successful management of partners at all levels, resulting in strong and positive outcomes.
+ The ability to deal well with ambiguity, complexity and working within a fast-paced, entrepreneurial and matrixed environment.
+ Deep personal accountability for great performance.

**Specific Responsibilities and Skills**
The ACE Data Privacy & Data Protection Officer (DPO) is a key contributor to the global Privacy & Data Ethics ("PDE") Team, and is responsible for managing privacy compliance across Europe, the United Kingdom, Switzerland, Canada and Australia (ACE) region. The PDE team is responsible for Gilead's global privacy program, including but not limited to, daily operations of the program, implementation, maintenance of policies and procedures, monitoring program compliance, and training. The ACE DPO reports to the Gilead Chief Privacy Officer and may oversee the work of other team members from time to time. The PDE team is a global function and provides matrixed support to corporate business lines as well as country counsel within Gilead's ACE affiliates.
Responsibilities include, but are not limited to:
**Privacy Function**
+ Lead the Company's privacy programs for ACE to strategically manage potential privacy risks and develop appropriate privacy controls to support business initiatives and use of emerging technologies to ensure compliance with the General Data Protection Regulation (GDPR) and related data protection and privacy matters in accordance with laws and regulations in force in all ACE markets in which Gilead operates.
+ Serve as a resource to ACE country counsel for privacy-related issues and escalations and help maintain a harmonized, global approach to issues.
+ Manage appropriate privacy and confidentiality consents, authorization forms and information notices and materials.
+ Work with IT Security to manage procedures for vetting and auditing vendors for compliance with the privacy and data security policies and legal requirements.
+ Manage the process for addressing complaints and requests from data subjects with respect to the enforcement of their rights under applicable laws.
+ Provide advice on Data Protection Impact Assessments (DPIAs)
+ Manage the relationship with the appropriate regulating bodies to ensure that programs, policies and procedures are consistent with law and regulations.
+ Serve as registered Data Protection Officer for purposes of GDPR and other similar legal compliance requirements.
**Incident Response**
+ Evaluate and improve upon process for receiving, documenting, investigating and reporting unauthorized access or disclosure of protected information.
+ Manage breach response, including notification to data subjects, law enforcement and regulators as needed.
**Policies and Training**
+ Continue to implement, maintain and improve corporate privacy policies, procedures, and infrastructure.
+ Develop and deliver privacy training materials and other communications to increase employee understanding of company privacy policies, data handling practices and procedures and legal obligations.
+ Work with business teams and senior management to increase awareness of "best practices" on privacy and data security issues.

**Qualifications**
+ Professional with strong privacy experience; experience in a life sciences industry preferred.
+ Qualified solicitor preferred.
+ CIPP certification (or equivalent) preferred.
+ Knowledge of European privacy laws regulations and best practices.
+ Proven track record of project and process development, implementation and project management.
+ Results oriented, proactive, responsible and pragmatic with a passion to solve complex problems in creative, efficient and cost-effective way and to translate global compliance environments into actionable policies, processes and programs that enable business objectives.
+ Proven track record of getting things done in complex organizational context, often without formal authority in a highly matrixed environment.

**Key Responsibilities**
+ Draft, review and negotiate a wide variety of commercial contracts in support of the Entrust business segments, primarily digital identity solutions, including software and cloud-based agreements, services agreements, consulting agreements, data protection agreements and other technology related agreements in line with corporate policies and risk tolerance and advise executive management on deal risk reviews;
+ Review and advise the business on complex and high value government and private tenders and provide legal support to the business in responding to RFPs, RFQs;
+ Provide legal support and guidance to the global organization on a broad range of other transactional, regulatory, compliance and ad-hoc matters as required;
+ Lead legal team priority projects as may be assigned from time to time while effectively collaborating with other business and legal colleagues;
+ Collaborate with internal clients at all levels to effectively minimize legal risk to the business while supporting and assisting in the achievement of the company's business and strategic objectives;
+ Develop a comprehensive understanding of the company's business and business practices in order to best serve the business;
+ Maintain high visibility within the business and gain the trust of senior management; and
+ Work in collaboration with other in-house attorneys located globally and outside counsel.
**Required Qualifications**
+ **Professional Background** : LLB (or equivalent) from an accredited law school; an LLM is a plus. Must be authorized and licensed to practice law in at least one jurisdiction
+ **Work Authorization** : Must have unrestricted work authorization and be willing to travel domestically and internationally.
+ **Experience** : Minimum five years' of relevant post qualified experience, with at least 3 years in an in-house corporate environment.
+ **Language Skills** : Fluency in English (written and spoken) is required; proficiency in additional languages such as French, Spanish, Dutch, or German is a significant advantage.
+ **Commercial Acumen** : Proven experience in interpreting, drafting and negotiating complex software and cloud/managed services technology agreements across multiple jurisdictions throughout EMEA and APAC.
+ **Communication & Leadership** : Exceptional communication, leadership, and organizational skills, with the ability to think strategically and give practical and business-oriented advice.

-Duties will be to assist other Legal Counsels in the team, and members of the business with the contractual aspects involved in the sales and bidding processes - e.g., carrying out contract reviews and summaries, negotiating, assisting with internal approvals, and drafting mark-ups or commentary on client contracts at all stages of the contract lifecycle.
-Put in place Local Country Agreements (LCAs) that sit under our global Master Services Agreements (MSAs). The LCAs are made between the CBRE local entity or affiliate and the client's local entity. This entails reviewing the MSA to determine whether there are any local jurisdictional or legal issues that need to be covered off or addressed in the LCA. For example, signing/execution formalities, pricing/payment terms, employee issues and insurance provisions all potentially have a local law nuance that needs to be captures in the LCA.
-The role also requires extensive stakeholder management in multiple jurisdictions, liaising with other regional Legal teams, Transition teams and in-country ops, pricing and commercial teams to ensure the LCAs reflect the local pricing and scope.
-Supports all aspects of deal negotiation, terms, and conditions of complex outsourcing and project management contracts, also providing input with regard to the commercial elements of the deals where they impact the legal provisions (e.g., pricing, service levels, governance, audit, exit, etc.).
-Keeps abreast of trends and changes in the laws in EMEA affecting the business and proactively communicate them to the business.
-Provides legal advice on an "ad hoc" basis in response to steady-state or business as usual contract queries and disputes and other legal issues as they arise.
-Has the ability to isolate complex legal issues and to provide prompt, concise and commercially focused legal advice, while balancing risks and benefits and being able to communicate these issues effectively.
**What You'll Need**
-Qualified in England and Wales, registered and currently practising lawyer with a minimum of 3 years PQE.
-A demonstrable track record of broad based commercial and contractual law experience and good knowledge of contract and commercial law.
-Knowledge of Data Protection regulations.
-Commercial law experience across multiple jurisdictions working with multinational companies.
-Knowledge of Facilities Management services and Projects is desirable but not essential
-In addition to English, fluency in 1 or more European language is desirable but not essential

The Legal Counsel/Paralegal will provide comprehensive legal advice and support to Zodia Group Companies across a range of legal matters. This role will involve working closely with stakeholders in all departments to ensure that the company's legal interests are protected and that it complies with all relevant laws and regulations.

Key Responsibilities:

Requirements

Qualifications and Experience

  • Law degree from a reputable university.
  • [English/Common law] Qualified lawyer with minimum of 2 years of post-qualification experience. Or Strong Paralegal who may discuss training contract options with Chief Of Legal
  • Strong understanding of regulatory, specifically FCA, Regulated Activities Order
  • Excellent written and verbal communication skills.

  • Adaptable, a fast learner and has the ability to pick up new and unfamiliar concepts.

The Role:

Reporting to the Chief Risk Officer, the role of Legal Counsel – Commercial & Funding, will form part of the existing Legal and Compliance framework. The ideal candidate will have significant legal experience with a strong understanding of commercial contracts, particularly in the fintech and payments space, but also capital markets, funding, debt sale and securitisation. You’ll be providing support for a wide range of legal matters, from commercial contracts to funding and governance, and be encouraged to step into new areas with curiosity and confidence.

The role will require the ability and desire to handle a variety of legal tasks, including corporate work and. some knowledge of data privacy and financial services regulation is desirable. The successful candidate will work closely with the other lawyer in the business, who is a consumer credit and retail financial services regulatory specialist.

Responsibilities:

  • Partner, support and advise CEO, CRO, CFO, and internal funding teams and other key business functions to deliver on Amplifi’s funding ambitions and initiatives
  • Review, draft, advise on and negotiate contractual arrangements between the company and third parties, including the Credit Unions we work with
  • Advise on broader regulatory requirements applicable to financial institutions
  • Support the Company’s corporate governance framework and ensure appropriate governance and board engagement for smooth delivery of Amplifi’s funding activities
  • Develop and refine company policies and procedures to manage and diminish legal risks effectively
  • Champion and be seen as a leader of a culture of legal compliance, risk management, and ethical practice across the organisation

Requirements

  • UK Qualified Solicitor or other equivalent common law jurisdiction, ideally with between 6 -10 years PQE obtained in-house in the UK or another common law jurisdiction
  • Experience in drafting and negotiating commercial contracts is necessary
  • Must also have strong knowledge and understanding of capital markets, funding, debt sale and securitisation
  • Robust understanding of regulatory landscape in the UK
  • Previous FinTech, and start-up experience desirable
  • Comfortable with ambiguity, constant change, and a fast-paced culture
  • A practical, solutions-oriented focus to solving legal challenges
  • Ability to stay current with evolving legal and regulatory developments
  • Proven commercial skills and a willingness to add value to an in-house environment
  • Strong organisational/project management skills, ability to handle high volume and balance competing demands
