Within this role you will work closely with the Earth and Environment businesses to support the growth of these businesses, while managing the legal and commercial risks associated with working in these sectors. This will include supporting the management of contractual and commercial risk predominantly in relation to engineering consultancy contracts through the provision of commercially oriented and solution focussed legal advice. An ability to understand and be able to advise on a wide range of construction and engineering related matters, including major procurements and projects involving complex contracting arrangements and contractual issues, including joint ventures is key to this role. Experience of working in the environmental and/or earth services, including mining sectors would be advantageous.
The role requires a self-starter who is confident working with senior internal stakeholders as well as external parties including clients, sub-consultants and their representatives.
**A little more about your role.**
+ Working closely with the Earth and Environment business teams to support the growth of the business line while embedding a culture of contractual and commercial risk management, mitigation and regulatory compliance
+ Reviewing and negotiating contractual documentation relevant to the earth, mining and environment sectors, including consultancy agreements, project contracts, joint venture and teaming agreements, framework agreements, collateral warranties, deeds of novation, reliance letters, non-disclosure agreements, letters of intent, and sub-consultancy agreements
+ Carrying out legal reviews with the aim of minimising any impact on WSP's working capital and proactively seeking the timely conclusion of contract negotiations
+ Ensuring that corporate governance is maintained in relation to contract reviews and approvals given to bid for work or enter into contracts
+ Providing advice and guidance on the tender process and bid documentation to identify and address risk and promote competition
+ Supporting and advising the business in the contract delivery phase to maximise revenue and minimise risk and support effective contract management
+ Liaising with internal business disciplines, bid teams, commercial and operations directors and other support functions including the finance team
+ Updating the business on relevant legal developments within the environmental and earth related space including from time to time delivering legal training
+ Contributing to the organisation and dissemination of legal 'know-how' within the WSP UK Legal team and contributing to the provision of 'lessons learned' feed-back to the wider business.
+ A team player who works collaboratively with colleagues at all times.

**What we will be looking for you to demonstrate.**
The successful candidate will be a solicitor qualified in England & Wales, with relevant post qualification experience of reviewing and advising on a wide range of contractual matters within the engineering and construction sector. Experience of being in-house at an engineering consultancy or a contractor is preferable. Experience of complex contracting arrangements including joint ventures is also desirable.
The successful candidate will have the experience and competence to work autonomously whilst feeding their knowledge and experience into the wider legal team.

**Legal Counsel**
CBRE requires a business focussed Legal Counsel to support its Global Workplace Solutions ("GWS") Enterprise Accounts Division in the Europe, Middle East, and Africa ("EMEA") region.
The role entails a full range of legal, risk and governance issues which affect and are integral to facilities management and project services contracts. More specifically, the role will support the Data Centre Services (DCS) division in GWS.
**What You'll Do**
-As a member of the legal team, is responsible for all aspects of legal work, including contract reviews, drafting, and governance, this role requires high attention to detail, organisation, commercial insight, communication skills, determination and flexibility to support the different business needs.
-Duties will be to assist other Legal Counsels in the team, and members of the business with the contractual aspects involved in the sales and bidding processes - e.g., carrying out contract reviews and summaries, negotiating, assisting with internal approvals, and drafting mark-ups or commentary on client contracts at all stages of the contract lifecycle.
-Put in place Local Country Agreements (LCAs) that sit under our global Master Services Agreements (MSAs). The LCAs are made between the CBRE local entity or affiliate and the client's local entity. This entails reviewing the MSA to determine whether there are any local jurisdictional or legal issues that need to be covered off or addressed in the LCA. For example, signing/execution formalities, pricing/payment terms, employee issues and insurance provisions all potentially have a local law nuance that needs to be captures in the LCA.
-The role also requires extensive stakeholder management in multiple jurisdictions, liaising with other regional Legal teams, Transition teams and in-country ops, pricing and commercial teams to ensure the LCAs reflect the local pricing and scope.
-Supports all aspects of deal negotiation, terms, and conditions of complex outsourcing and project management contracts, also providing input with regard to the commercial elements of the deals where they impact the legal provisions (e.g., pricing, service levels, governance, audit, exit, etc.).
-Keeps abreast of trends and changes in the laws in EMEA affecting the business and proactively communicate them to the business.
-Provides legal advice on an "ad hoc" basis in response to steady-state or business as usual contract queries and disputes and other legal issues as they arise.
-Has the ability to isolate complex legal issues and to provide prompt, concise and commercially focused legal advice, while balancing risks and benefits and being able to communicate these issues effectively.
**What You'll Need**
-Qualified in England and Wales, registered and currently practising lawyer with a minimum of 3 years PQE.
-A demonstrable track record of broad based commercial and contractual law experience and good knowledge of contract and commercial law.
-Knowledge of Data Protection regulations.
-Commercial law experience across multiple jurisdictions working with multinational companies.
-Knowledge of Facilities Management services and Projects is desirable but not essential
-In addition to English, fluency in 1 or more European language is desirable but not essential

**Key Responsibilities**

**Required Qualifications**
+ **Professional Background** : LLB (or equivalent) from an accredited law school; an LLM is a plus. Must be authorized and licensed to practice law in at least one jurisdiction

+ **Experience** : Minimum five years' of relevant post qualified experience, with at least 3 years in an in-house corporate environment.

Job Description

A multi award-winning creative agency is looking for a Legal Counsel to join their 6-strong legal team, working across brand strategy, data and analytics, communications, customer experience, media, production and distribution.


Responsibilities will include, but are not limited to:


  • Reviewing, amending and negotiating non-disclosure agreements
  • Drafting and negotiation of a variety of commercial contracts including synchronization agreements, framework services agreements for media planning and buying, creative advertising services, branding services, talent and influencer agreements, production agreements and supplier contracts
  • Researching and advising on IP issues (both contentious and non-contentious) including potential issues surrounding advertisements before publication
  • Researching advertising regulation and reviewing and advising on copy and scripts for compliance with regulations
  • Delivering training and updates to the legal team and wider business
  • Assisting in reviewing and updating of precedent agreements and policies
  • Providing general legal support to the agency and legal team

To be considered, you should have c.2-3yrs* PQE with IP and Commercial experience in private practice or from an in-house commercial team; and advertising/media experience would be useful but is not essential. You should also have a working understanding of copyright and trade mark infringement; be commercially-minded, and the ability to negotiate independently is vital.
