**The Team:**
The role will sit within the Global Fixed Income Legal team. The team works closely with colleagues in Equities, Credit and the Commodities globally on BAU issues and as well as large-scale global projects. Cumulatively the team has a vast amount of experience and are well placed to provide ongoing support and training and the role also offers opportunity to participate in several industry projects and initiatives. The BofA Legal Department offers comprehensive programs and opportunities related to career development and mentoring.
**Responsibilities:**
German-speaking and German-qualified lawyer to provide legal representation and support for the Global Markets business, including:
+ Supporting all aspects of the German derivatives, repo and stock lending businesses.
+ Supporting the documentation teams in negotiation of German law trading documentation (master agreements, credit support documentation, confirmations).
+ Drafting and negotiating structured derivatives documents under German law.
+ Reviewing netting and collateral opinions impacting German law trading documentation.
+ Negotiation of ancillary documentation such as confidentiality agreements/dealer mandates.
+ Supporting implementation of Swiss derivatives Master Agreement, with support from external counsel, advising on Swiss listing and regulatory matters.
+ Assisting the wider legal team with support for the non-German law aspects of the fixed income business.
+ Liaising directly with the front office, clients, external counsel, relevant industry bodies and all internal support and control groups
**Experience and Skills:**
+ German law qualification.
+ Excellent German and English language skills
+ Excellent knowledge of and experience working with the German master agreement (Deutsche Rahmenvertrag), derivatives, repo and stock lending
+ Experience with banking documents such as the Schuldschein is ideal.
+ Strong post qualification experience in either a financial institution or a law firm.

**The Team:**
The EMEA corporate secretary team is a collegial, professional team comprised of experienced corporate secretaries and attorneys dedicated to providing world class service to management, directors, and the entities we support. We interact with our global Corporate Secretary team to pursue best practices in the industry and within Bank of America.
We are located in Paris, London and Dublin. The Bank of America Corporate Secretary team has approximately 19 team members in EMEA supporting global Corporate Secretary operations, regional legal entities and entity eliminations. We frequently interact with our Legal colleagues in the U.S. and APAC, and with Bank of America management in region and globally.
**Responsibilities:**
+ Lead a team of attorneys and corporate secretaries supporting the regulated UK, Irish and French financial service firms, and lending entities and several other regulated and unregulated EMEA legal entities.
+ Ensure entities conduct activities in accordance with applicable company law, local regulatory requirements in respect of corporate governance and Bank of America governance and subsidiary management policies and procedures relevant for the Company Secretarial team.
+ Working with management and directors, plan and organise general meetings, board meetings and committee meetings including preparing agendas, drafting resolutions, organising clear and appropriate papers, minute taking, answering director/officer and business line enquiries, and ensuring all board decisions are executed.
+ Interface with directors and senior management in region to execute proper governance activities; includes interface with global Bank of America management where necessary.
+ Corporate governance subject matter expertise for EU and UK regulated entities.
+ Organise and contribute to new director appointments and participate in new director identification process for both internal and external director appointees including guiding proposed appointees through regulatory interviews. Arrange ongoing training on director responsibilities.
+ Respond to/request information from risk management, finance, auditors, senior management, group company secretaries and regulators.
+ Oversee the following:
+ Maintenance of the statutory registers and internal corporate governance subsidiary record keeping system
+ Local and outside region filings
+ Operation of signing authorities and delegated authorities
+ Execution of legal documents including POA's, Certificates of Incumbency, Deeds etc. including notarisation / apostille / legalisation.
+ External company secretarial provider companies
+ Where necessary, work with business lines and staff areas to establish new legal entities or close inactive legal entities in line with legislative requirements and internal Bank of America procedures.
+ Participate in regional legal entity projects, including corporate restructures
**Experience and Skills:**
+ In-house corporate lawyer with company secretary experience and experience of corporate laws and regulations in the EU, England and across the EMEA region
+ Law degree required with strong post qualification experience
+ Large law firm training and/or in-house Legal department experience; financial institution experience preferred.
+ Ability to manage responsibilities across multiple jurisdictions and time zones and manage a high volume of work and clients in a fast-paced environment.
+ Ability to work well with teams and enterprise corporate secretaries globally.
+ Ability to communicate clearly and persuasively, both verbally and in writing, and to adapt to a variety of audiences.
+ Ability to be successful in a global, matrixed organisation.

Southend City Council are looking to appoint a permanent, full-time Senior Lawyer.As a lawyer within the Council's well-respected Legal Services team, you will be handling a technical legal caseload of cases of medium complexity, ensuring the provision of timely, accurate, and high-quality advice. You will work closely with colleagues, to deliver high standards of service in adult social care law. The role will include, but is not limited to, the following:
- Providing legal advice on Care Act, Mental Capacity Act and Mental Health Act matters, issues relating to continuing health care and S117 and ordinary residence disputes
- Advising in respect of and having conduct of litigation in relation to adult social care matters, including applications relating to community DOLs, S21A challenges, S16 welfare proceedings, and displacement of nearest relative applications and judicial reviews.
- Addressing issues related to no recourse to public funds, safeguarding, financial matters, information governance and inquests.
- Work with the Court of Protection team which, for example, makes applications for finance and property deputy ships and authority to sign or surrender tenancies.
Within this position, hybrid working opportunities are available. However, you are required to be on-site at the Civic Centre a minimum of 2 days a week.
What you'll need to succeed
- Qualified Solicitor/Barrister/Legal Executive with a current England & Wales practising certificate.
