Reporting to the International General Counsel, the successful candidate will support the in providing advice and support on all legal matters affecting The Hartford International's operations, ensuring adherence to relevant laws and regulations across the UK, EU, Hong Kong and Singapore, and assisting in managing legal risks.
Collaborate closely with senior key stakeholders within International and at Group level, and assist in driving improvements in legal processes, to help shape the legal function's impact on the wider business.
This role will be based in London, UK and you are required to have the necessary right to work details prior to application.
Key Responsibilities
+ Assist in providing legal advice on a broad range of legal matters, on underwriting, claims, compliance, commercial and corporate governance.
+ Assist in identifying, assessing and managing current and emerging legal risks and support the development of strategies to mitigate these risks effectively, including the need for any required change in practices.
+ Assist in building and maintaining an effective team and legal partnering proposition, balancing risk and expense and delivery of a high- quality legal service to the wider business.
+ Provide insurance and non-insurance related legal advice under local law (in conjunction with external legal advisors where scale, complexity and specialist knowledge require):
+ Insurance related contracts and arrangements, including but not limited to delegations of authority, non-market standard clauses in TOBAs, claims handling arrangements, non-standard broker agreements and fee arrangements, market agreements and initiatives.
+ General corporate / commercial law matters including but not limited to corporate transactions, outsourcing and commercial contracts, intellectual property, real estate, employment contracts.
+ Collaborate with Compliance to assist in ensuring The Hartford's International and syndicate's operations comply with relevant laws and regulations, particularly those specific to the Lloyd's market and insurance industry, which can include sanctions, financial crime, and conduct risk, and the development and implementation of internal policies and procedures to ensure legal and regulatory compliance.
+ Advise on existing insurance policy endorsements and wordings, and product and policy wording development.
+ Provide support to the governance and company secretarial function as may be required.
+ Provide assistance in conducting training sessions for staff on legal and compliance matters to promote awareness and understanding within the business.
Skills and Experience
+ UK qualified lawyer (with 3-5+ years' PQE) or equivalent, desirable mix of private practice and in-house.
+ Experience in insurance law and regulation, and desirable Lloyd's/London insurance market practices.
+ Experience and knowledge of PRA/FCA and Lloyd's regulatory regimes.
+ Knowledge of UK/EU sanctions and OFAC sanctions.
+ Excellent commercial risk awareness.
+ Strong analytical, organisational, and communication skills, with the ability to assist in conveying complex legal information clearly and concisely.
+ High attention to detail and ability to manage multiple tasks .
+ Strong problem-solving skills and ability to assist in making sound legal decisions sometimes under tight deadlines.
+ Collaborative team player, with a high level of professionalism, integrity, and ethical conduct.

**Key Responsibilities**
+ Draft, review and negotiate a wide variety of commercial contracts in support of the Entrust business segments, primarily digital identity solutions, including software and cloud-based agreements, services agreements, consulting agreements, data protection agreements and other technology related agreements in line with corporate policies and risk tolerance and advise executive management on deal risk reviews;
+ Review and advise the business on complex and high value government and private tenders and provide legal support to the business in responding to RFPs, RFQs;
+ Provide legal support and guidance to the global organization on a broad range of other transactional, regulatory, compliance and ad-hoc matters as required;
+ Lead legal team priority projects as may be assigned from time to time while effectively collaborating with other business and legal colleagues;
+ Collaborate with internal clients at all levels to effectively minimize legal risk to the business while supporting and assisting in the achievement of the company's business and strategic objectives;
+ Develop a comprehensive understanding of the company's business and business practices in order to best serve the business;
+ Maintain high visibility within the business and gain the trust of senior management; and
+ Work in collaboration with other in-house attorneys located globally and outside counsel.
**Required Qualifications**
+ **Professional Background** : LLB (or equivalent) from an accredited law school; an LLM is a plus. Must be authorized and licensed to practice law in at least one jurisdiction
+ **Work Authorization** : Must have unrestricted work authorization and be willing to travel domestically and internationally.
+ **Experience** : Minimum five years' of relevant post qualified experience, with at least 3 years in an in-house corporate environment.
+ **Language Skills** : Fluency in English (written and spoken) is required; proficiency in additional languages such as French, Spanish, Dutch, or German is a significant advantage.
+ **Commercial Acumen** : Proven experience in interpreting, drafting and negotiating complex software and cloud/managed services technology agreements across multiple jurisdictions throughout EMEA and APAC.

Purpose of the role
We’re looking for a proactive and commercially astute Legal Counsel to join our in-house legal team in a permanent capacity. This role will initially focus on providing maternity cover for our Senior Contracts Manager, with a strong emphasis on customer and supplier negotiations and commercial contracting.
Following the initial 12-month period, the role will evolve into a broader legal advisory position, still supporting client and procurement deals, with potential to expand into employment law, corporate matters, regulatory compliance, and general legal support across the business. Over time, as the Senior Contracts Manager returns and our sales support functions evolve, there will be opportunities for the Legal Counsel role to broaden. While customer contract support will remain a core part of your remit, you may gradually take on additional responsibilities across other areas of law – such as employment, corporate governance, regulatory compliance, and broader legal advisory – depending on business needs and your own interests and strengths. Throughout, you'll report to, and be supported by the General Counsel, who enjoys and prioritises coaching and mentoring, and you’ll be part of a team that is customer-centric, solution-orientated and an enabler of the business.

Key accountabilities
- Lead legal support on global commercial deals: Draft, review, negotiate, and provide end-to-end support on customer contracts, working closely with Sales and other commercial stakeholders. Serve as the first port of call for all customer deal support and contract queries. Provide pragmatic, solutions-focused legal advice to commercial teams.
- Attend and lead client and supplier negotiations: Join client calls as needed and lead contractual negotiations with customers and suppliers.
- Support procurement: Advise on contract risk assessments and work with Procurement to negotiate supplier contracts, supplier contract negotiations and procurement-related risk assessments.
- Maintain and improve our global contract templates for our Passport (product) and Consulting offerings, and integration of these into the commercial ecosystem, e.g. Salesforce and DocuSign.
- Risk management: Identify, assess, and mitigate legal, financial, and operational risks in contracts. Provide guidance to the business on key contract terms and, risks, and obligations. Coordinate with business units to ensure contractual obligations are understood and fulfilled followed.
- Provide pragmatic, solutions-focused legal advice to commercial teams.
- Collaborate with the General Counsel for support on complex drafting, negotiation and forming judgement of contractual risks.
- Develop and deliver training for global sales teams; contribute to legal resources, toolkits, and playbooks.
- Supervise and develop our Legal Contracts Analyst based in Chicago.
- Proactively identify and drive opportunities to improve processes and enhance efficiency in contract management, legal matter intake and legal operations, leveraging existing tools and systems and consistently looking to find a better way.
Phase 2: Legal Counsel Development (Post-Maternity Cover)
- Continue supporting customer and supplier negotiations and contracts to lead and support customer and supplier contract work, which will remain a central and ongoing responsibility of the role.
- Broaden scope to include (depending on business needs and capacity):As capacity allows and based on business needs, gradually expand into other areas of legal support, which may include; Employment, corporate, regulatory compliance and general legal advisory.: Support HR with employment contracts, policies, and employee relations issues. - Regulatory compliance: Support on data protection, industry-specific regulations, and internal compliance initiatives
- General legal advisory: Provide legal input on ad hoc business matters as needed
- Build strong relationships across the business, building credibility as and act as a trusted legal go-to advisor
Skills, knowledge and experience
- Qualified solicitor or legal executive (UK or equivalent jurisdiction)
- 2-3+ years’ post-qualification experience (PQE) with strong experience in commercial contracts (in-house or private practice)

We have an opportunity for a talented Legal Counsel to join us on the exciting and rewarding path we are taking here at Castle Trust Bank. We pride ourselves in being a fintech challenger bank, providing specialist property mortgages, retail finance lending and savings accounts to a variety of customers.
As a Legal Counsel, you will form part of a small legal team and operate in a generalist capacity, working across the various business lines within the Bank. You will have the opportunity to provide legal advice in relation to matters in Residential Property, Consumer Credit/Finance and Savings. Should any matters of litigation arise, you will play an important and key role in supporting the business and mitigate risk. Another focus of this role will be to review, negotiate and create contracts with suppliers and other external counterparties, in addition to supporting the General Counsel in ensuring that the Bank’s standard form documentation is properly maintained.
The role will be on a hybrid working arrangement, 3 days a week from our London office and the rest of the week from home. This is a fixed-term contract opportunity covering a period of maternity leave for up to 14 months.
What we are looking for in you…
What is important to us is that you are a qualified solicitor (with a UK practising certificate) with demonstrable post-qualification experience. It would be preferred if you have previous experience operating in-house, ideally within banking (however not essential, other regulated financial institutions will be considered). It is important that you have operated in either real estate finance or consumer finance to allow you to hit the ground running.
