About The Role

The OGC Lawyer- Conflicts and Compliance is an integral part of Latham’s Office of the General Counsel team. This role will be responsible for supporting a number of compliance programs including new business and conflicts intake and general regulatory risk management , while developing and maintaining substantive knowledge of and familiarity with the legal ethics, and professional responsibility rules applicable in the firm’s geographic jurisdictions, particularly those outside of the United States, while also understanding Latham’s procedures, policies, and practices relating to conflicts and other ethical issues . This role will be located in our Londonoffice. Please note that this role may be eligible for a flexible working schedule that allows for a hybrid and in-office presence.

Responsibilities & Qualifications

Other key responsibilities include:

  • Assisting senior lawyers and other Conflicts Department staff in identifying, evaluating, and resolving ethical and business conflict issues relating to conflicts checks for laterals and new business
  • Performing legal research and analysis projects relating to conflicts or other aspects of ethics and/or professional responsibility as requested by the Senior Assistant General Counsels
  • Taking responsibility for general risk management programs, such as file audits, accountant’s letters, and contract review
  • Assisting with the review and analysis of Outside Counsel Guidelines, Engagement Letters, and other terms of engagement with firm clients
  • Assisting various stakeholders in researching and analysing complex ethics and compliance questions


We’d love to hear from you if you:

  • Exhibit highly developed and professional interpersonal skills, as well as the ability to interact effectively with people at all organisational levels of the firm
  • Demonstrate the ability to work in a team environment
  • Display the willingness to work in a hybrid style, with the majority of the days being in the office


And have:

  • Have a minimum of 3 years of post-qualification experience
  • Qualification as a solicitor, barrister, or an equivalent foreign lawyer with an unfettered right to practice in their home jurisdiction
  • An active practising certificate or local bar membership
  • Experience working in a conflicts team
  • General law firm compliance experience

Key Responsibilities:
What You'll Be Doing
- Provide end-to-end legal advice to the Corporate Development team on M&A transactions across multiple jurisdictions.
- Support the Finance team on the delivery of strategic finance projects, including debt facilities, share buybacks and bond issuances.
- Support the Finance team on the structuring and execution of complex intragroup transactions, including restructurings, financing arrangements, dividends, asset transfers and liquidations.
- Provide advice on corporate governance matters, including requirements under the UK Listing Rules, Companies Act, Corporate Governance Code, MAR and directors' duties.
Requirements
- A qualified lawyer with at least 3 years' qualification experience.

We're now looking for an additional Legal Counsel in the Starling Group’s growing Corporate Legal team. The Corporate Legal team provides support across a wide range of areas including corporate structuring, corporate finance, M&A, other strategic projects, employee share/incentive schemes, other shareholder matters, prudential regulation and intra-group arrangements. The role represents a fantastic opportunity to join a team working with a variety of business and other legal colleagues across Starling Group, supporting both Starling Bank and Engine (our software as a service business), and to make your mark at one of the UK's most exciting fintechs.

Responsibilities

  • Providing high-quality legal advice to internal stakeholders on the areas noted above, with appropriate recognition of commercial considerations. 
  • Managing multiple projects and supporting colleagues to ensure business initiatives are executed in a timely and accurate manner.
  • Instructing and working with outside counsel where necessary on specialist matters.

Requirements

  • Excellent legal experience (private practice and/or in-house), with between 1 and 5 years PQE*. 
  • Experience in one or more of the areas the Corporate Legal team supports (as described above).
  • Strong analytical, drafting and reviewing skills.
  • The ability to communicate effectively and build relationships with stakeholders across the business, up to Executive and Board level.
  • Capable of working well in a fast-paced environment with a wide variety of work.
  • Positive and collaborative team player.

As a member of our Legal Team, you will play a critical role in enabling Scott Bader to meet its strategic and operational objectives while ensuring legal and regulatory risks are managed effectively. This is a varied role covering commercial law, compliance, regulatory matters, dispute resolution, and corporate legal support in a global context.


You'll work closely with teams across the global organisation, providing pragmatic legal guidance that supports our values-driven approach. This is an opportunity to not only provide high-quality legal support but to actively shape how legal services are delivered and valued throughout the organisation.


This is a hybrid role, giving you the flexibility to work in a way that suits you. We do, however, believe there’s real value in spending time together in person, so we ask that you join us in the office at least one day a week. It’s a great opportunity to build strong relationships with your new colleagues and experience the unique setting we’re proud of.


Some of your key responsibilities:

  • Provide commercially focused legal advice across the global business to support informed and balanced decision-making.
  • Draft, review, and negotiate a wide variety of commercial contracts including supply, service, consultancy, IT/SaaS, distribution, licensing and collaboration agreements.
  • Advise on legal compliance across key frameworks including data protection, anti-bribery, competition law, and export controls.
  • Collaborate with stakeholders in R&D, commercial and operational teams to protect intellectual property and mitigate legal risks.
  • Instruct, manage, and oversee external legal counsel efficiently, ensuring cost-effective and high-quality legal advice
  • Contribute to legal department initiatives, knowledge sharing, and the delivery of legal training across the business.

AECOM is seeking a qualified and proactive **Bilingual (english/french)** **Legal Counsel (Solicitor)** to join our European Legal and Risk Management team. This position will report directly to the **Senior Legal Counsel** within our Europe and India Legal team and forms part of a collaborative and dynamic legal department that values strong cross-functional partnerships and business alignment.

The successful candidate will provide strategic and practical legal support across a broad range of construction and infrastructure projects throughout Europe. **Key Responsibilities**
Provide legal advice and support across AECOMu2019s European business lines, managing a diverse portfolio of legal documentation related to engineering and construction projects.
Partner closely with project teams to deliver strategic legal counsel on major infrastructure initiatives.
Deliver training sessions and risk briefings to senior executives and business stakeholders on critical legal issues.
Support the implementation of innovative legal processes and promote best practices across the legal function.

**Qualifications**

**Minimum Requirements**
Qualified solicitor with 1u20135 yearsu2019 post-qualification experience (PQE), ideally gained within a recognised law firm or a reputable in-house legal team.
Fluent in **English and French** , with strong drafting and negotiation experience in commercial contractsu2014preferably within the construction, infrastructure, or engineering sectors.
Strong interpersonal and influencing skills, with the ability to build trusted relationships at all levels, including senior executives and cross-functional teams.
A commercially minded, proactive self-starter who thrives in a fast-paced, collaborative environment.
Confident in managing a varied workload with a solutions-oriented approach to legal and business challenges.

**Preferred Qualifications & Experience**
Experience advising on civil law frameworks in **France or the Benelux region** is highly advantageous.
Demonstrated ability to communicate clearly and effectively with both legal and non-legal audiences.
Familiarity with legal budget management and external counsel oversight.
Interest in continuous improvement and willingness to adopt innovative legal service delivery methods.
