The firm is seeking a highly motivated and experienced Private Funds Investment Funds Lawyer to join its dynamic team.
Position Overview:
The Private Funds Investment Funds Lawyer will be responsible for providing legal advice and support to clients in relation to the formation, structuring, and operation of private investment funds. The ideal candidate will have a deep understanding of the legal and regulatory environment affecting private funds and a strong track record of working on complex fund formations.
Key Responsibilities:
- Advise clients on the formation, structuring, and operation of private investment funds, including private equity funds, hedge funds, real estate funds, and venture capital funds.
- Draft and negotiate fund formation documents, including partnership agreements, subscription agreements, and offering memoranda.
- Provide counsel on regulatory compliance matters, including SEC, FINRA, and CFTC regulations, as well as other relevant domestic and international regulations.
- Assist clients with fund-raising activities, including private placements and investor negotiations.
- Advise on investment management agreements, side letters, and other related contractual matters.
- Conduct legal due diligence for fund investments and acquisitions.
- Collaborate with other practice areas within the firm to provide comprehensive legal solutions for clients.
- Stay up-to-date with industry trends and changes in relevant laws and regulations.
- Develop and maintain strong client relationships, acting as a trusted advisor on legal and strategic matters.
Qualifications:
- England & Wales qualified
- Minimum of 2 years of experience as a lawyer in private investment funds, preferably within a top-tier law firm or in-house legal department.
- Extensive knowledge of securities laws and regulations, investment advisor regulations, and other relevant regulatory frameworks.
- Proven experience in drafting and negotiating complex fund formation documents.
- Strong analytical skills and the ability to provide practical, business-oriented legal advice.
- Excellent communication and interpersonal skills, with the ability to build and maintain strong client relationships.
- High level of professionalism, integrity, and ethical standards.
- Ability to work both independently and as part of a team in a fast-paced environment.
