The Role  

As Legal Director, you will be the principal in-house legal advisor for Board Intelligence Group, a fast-growing B2B SaaS business with offices in London, Stockholm, and Mauritius. You’ll lead on all legal business matters, working with a small team, act as a trusted advisor to senior leadership, and coordinate with external counsel as needed.  

You’ll have an entrepreneurial mindset, driving forward key business priorities and acting as a proactive business partner who goes beyond traditional legal advice; translating complex legal concepts into clear, actionable guidance, and working together with the business to ensure recommendations are implemented and deliver real commercial value.  This is a hands-on role with the opportunity to shape the legal function. 
 

Main Responsibilities 

  • Advise the business on a broad range of legal issues, including SaaS agreements, government and regulatory compliance, data privacy, risk mitigation, and intellectual property. 
  • Working with our Contracts Manager you will prioritise, review, and negotiate a variety of commercial agreements, including customer, supplier, partnership, and technology contracts.   
  • Oversee and coordinate with external counsel on specialist matters including complex regulatory issues and international expansion. 
  • Monitor and ensure compliance with applicable laws and regulations, including GDPR and other data privacy frameworks relevant to SaaS businesses and its primary markets. 
  • Stay abreast of legal and regulatory developments affecting the SaaS and technology sectors including the EU AI Act and similar emerging regulations. 
  • Develop and maintain internal policies and procedures to manage legal risk and support business objectives. 
  • Develop strategies to engage the business and its employees to provide actionable guidance on regulation that impacts the business and bridge the gap between legal and non-legal professionals.  Provide training to internal stakeholders on legal and compliance topics. 
  • Support the business in managing and protecting its intellectual property portfolio. 
  • Take on the responsibilities of Data Protection Officer (DPO) for the UK company 

Requirements

  • Qualified lawyer (England & Wales or overseas jurisdiction).  
  • Previous in-house legal experience, ideally within a B2B technology or SaaS environment. 
  • Strong working knowledge of commercial contracts and data privacy. 
  • Experience advising on regulatory compliance and risk management in a fast-paced, high-growth business. 
  • Excellent drafting, negotiation, and communication skills. 
  • Ability to work independently, exercise sound judgement, and manage competing priorities. 

Desirable 

  • Familiarity with international legal frameworks and cross-border transactions. 
  • Exposure to M&A, rapid scale ups, ideal but not essential  
  • Corporate governance experience is not required but a plus

**Key Responsibilities**
+ Lead the Data Protection Legal team with global responsibility across all relevant jurisdictions particularly covering UK/EU, Middle East, Americas and APAC.
+ Work with the Chief Privacy Officer to provide strategic advice and build out a global team of legal specialists to support the firm's Global Privacy and Data Protection programme for existing and new businesses.
+ Develop the Legal data protection framework covering legal support to the business across all aspects of data privacy and protection including:
+ Privacy notices and policies used externally across various jurisdictions
+ Data incidents, where notification may be required by various regulators
+ Cross border data transfers and intra-group transfer agreements
+ Records of processing activities (ROPA) legal basis, DPIAs, LIAs and TIAs

Specifically with regards to contracts:
+ Ensure in-depth legal analysis of strategic agreements, data processing agreements, financial market data licensing agreements, technology agreements, and other complex legal matters.
+ Lead both client and vendor facing negotiations while being able to represent BlackRock's business objectives, policies, and standard positions.
+ Identify and mitigate legal risks, offering practical solutions to complex legal challenges, while having a deep understanding of risk and reward balance of a transaction.
+ Structure, draft and review a variety of agreements, ensuring alignment with BlackRock's business objectives, policies and standard positions.
+ Collaborate with stakeholders to finalize terms and conditions that protect BlackRock's reputation and interests.
External counsel management:
When there is the need to engage external counsel, the Director will manage this interface and activities on behalf of Legal and Compliance and the Group Privacy global programme.
**Requirements**
+ Lawyer qualified in a relevant jurisdiction e.g. UK or a jurisdiction within the EU ideally.
+ At least 8 years post-qualification experience in a relevant role at a top-tier law firm and / or in-house legal department. In house experience or secondments are an advantage but not a prerequisite.
+ Ideally experience in Financial Services and in particular, the asset management industry, and the ability and desire to further develop expertise in adjacent areas of law.
+ Strong experience in privacy laws globally, privacy notices and policies, contracts, data incident handling, international transfers, individual rights requests, ROPA, DPIA/PIAs/LIAs and TIAs.
+ Demonstratable understanding of operational considerations and working alongside compliance advantageous to reach satisfactory business outcomes.

**Your Role Accountabilities.**
Consumer and Marketing
+ Work closely with key stakeholders on the global rollout of new digital product launches.
+ Provide support across the consumer lifecycle/experience, including advising on product development, buyflows, subscription models and pricing, promotions, customer support and complaints.
+ Advising on a wide range of consumer, regulatory and marketing law issues.

**MAIN PURPOSE OF THE ROLE**
The main purpose of the role is to provide leadership and oversight for EMEA Enterprise Risks and GM Traded Risk portfolio. This includes responsibility for design of audit planning and corresponding audit execution for all relevant audit components related to enterprise wide risks in EMEA (including market, model and prudential risks) and GM traded risk (including key trading P&L drivers, market risk, traded credit risk, model risk and valuation risks).
The person will be required to develop and manage relationships, working closely with local and global audit colleagues and regional and global business stakeholders.
In particular, the holder will be required to play a significant role in developing, implementing and embedding a robust relevant audit approach for the region, as well as contributing to key strategic initiatives, both locally and globally. In addition, they will be required to play a key role to establish the Traded Risk Centre of Excellence (CoE) globally, providing analytical, technical and quantitative support across traded risks for Global Markets audits.
They will also be responsible for maintaining the audit universe for their assigned auditable entities and the related risk assessment, delivering effective continuous monitoring, and establishing and maintaining strategy and approach papers.
Note: 70% of the role capacity is allocated to cover EMEA risks vs 30% to support the global GM traded risk.
**KEY RESPONSIBILITIES**
**People:**
+ EIA Directors are responsible for the line management of staff allocated to them. These teams will be made up of Senior Audit Managers, Audit Managers, Senior Auditors or Auditors.
+ High performing teams are expected in EIA and therefore the EIA Director must support performance and talent management.
+ The EIA Director will be required to influence and negotiate with counterparts across EIA and globally to execute audit assurance.
+ As a Director, high leadership standards are expected across the wider global function and bank and the role holders will be required to act as role-models and support other EMEA-wide initiatives.
+ EIA Directors will also be required to support non-'BAU' strategic initiatives e.g. 5 P's.
