You might not expect a global chemical manufacturer to be anything but corporate, but we’re different. As an employee-owned business with strong community values, we’re based in a beautiful Grade 2 listed manor house (with an on-site swimming pool!). We’re looking for a full or part-time lawyer to join our friendly legal team and help us keep everything running smoothly in this unique organisation.
As a member of our Legal Team, you will play a critical role in enabling Scott Bader to meet its strategic and operational objectives while ensuring legal and regulatory risks are managed effectively. This is a varied role covering commercial law, compliance, regulatory matters, dispute resolution, and corporate legal support in a global context.
You'll work closely with teams across the global organisation, providing pragmatic legal guidance that supports our values-driven approach. This is an opportunity to not only provide high-quality legal support but to actively shape how legal services are delivered and valued throughout the organisation.
This is a hybrid role, giving you the flexibility to work in a way that suits you. We do, however, believe there’s real value in spending time together in person, so we ask that you join us in the office at least one day a week. Some of your key responsibilities:
- Provide commercially focused legal advice across the global business to support informed and balanced decision-making.
- Draft, review, and negotiate a wide variety of commercial contracts including supply, service, consultancy, IT/SaaS, distribution, licensing and collaboration agreements.
- Advise on legal compliance across key frameworks including data protection, anti-bribery, competition law, and export controls.
- Collaborate with stakeholders in R&D, commercial and operational teams to protect intellectual property and mitigate legal risks.
- Instruct, manage, and oversee external legal counsel efficiently, ensuring cost-effective and high-quality legal advice
- Contribute to legal department initiatives, knowledge sharing, and the delivery of legal training across the business.

As Legal Counsel, you will report into head of legal and take on a generalist in-house role, with a heavy focus on client commercial contracting. You will support the Group on all domestic and international legal matters. You will partner with key stakeholders in the business to provide legal support and advice to achieve resolution of legal issues in the group’s best interests.

Versant requires a junior lawyer, to work across a variety of media law and commercial matters, though principally providing legal support to CNBC International's Advertising and Partnerships sales teams and Channel Distribution team. The role reports to the VP, Legal and Business Affairs, Ad Sales, based in London.
Responsibilities:
+ Provide legal support to CNBC International's Advertising and Partnerships and Channel Distribution sales teams with a primary focus on the EMEA region
+ Draft, review, and negotiate broadcast, cable and streaming channel distribution terms and conditions with platforms
+ Draft, review, and negotiate advertising sales agreements including, insertion orders, advertising terms, sponsorship, custom content, data and events agreements.
+ Draft and negotiate agreements with vendors, production companies, agencies, and consultants, including ad tech agreements, third-party sales rep agreements and reseller agreements
+ Counsel about risks associated with engaging in a variety of digital and marketing activities and the collection and use of data
+ Review digital and linear advertising and marketing content for regulatory compliance, and intellectual property concerns across all territories
+ Support the development, production and exploitation of advertising, marketing, and other sponsored content and advise on compliance with CNBC's editorial guidelines as they pertain to commercial content.
+ Counsel on the use and exploitation of intellectual property including interpterion of licensing agreements
+ Advise internal clients regarding compliance issues, debt collection, contractual rights and duties, matters of contract interpretation and pre-litigation dispute resolution
+ Develop best legal and contractual practices in connection with a rapidly changing and expanding business and media landscape

SKILLS AND EXPERIENCE
+ Strong commercial drafting skills and good understanding of UK copyright law.

**Required Qualifications**

The Legal Counsel (Institutional Legal) role will be based in the US or UK working as part of the Institutional Legal team covering derivatives, international markets and professional trading clients including banks, brokers, hedge funds, market makers corporates and other professional traders. The team consists of a small but highly experienced group of lawyers from a combination of traditional finance and fintech backgrounds. The role reports into a director who leads the markets and financing legal team, and covers institutional products including prime brokerage, exchange, trading and custody, derivatives and financing products. We're looking for a lawyer with solid product development, regulatory and negotiation skills preferably developed within the traditional derivatives, structured finance and/or prime brokerage sectors. A sense of curiosity, flexibility and adventure combined with the desire to make an impact at the intersection of crypto and traditional global markets is essential.
*What you'll be doing:*
* Provide full product life-cycle counseling for a variety of global derivatives, prime brokerage, custody and financing related products, and practical advice on associated legal issues and risks, complex agreement structures and company policies in a risk-tolerant, but compliance-oriented environment.
* Negotiate novel, highly-tailored agreements with strategic partners and sophisticated counterparties in the finance, payments and digital currency space.
* Stay abreast of and advise on digital currency and blockchain technology legal and regulatory issues, particularly in the US, UK, EU and elsewhere.
* Lead and assist with complex and global cross-functional efforts, driving and ensuring cross-functional alignment with other stakeholders (Institutional Sales, Business Development, Product/Engineering, Finance/Tax, Compliance).
* Effectively collaborate with those same cross-functional teams and legal colleagues to solve problems, build partnerships, and ship products.
* Proactively solve problems for the business as they plan and execute on an aggressive global growth plan, develop scaled strategies for addressing risk in business-centric ways and build commercial processes that allow the business flexibility and freedom to move quickly.

*What we look for in you:*
* Qualified solicitor in England and Wales *or* in a major US jurisdiction with at least 3 years experience working in a financial services institution (e.g. e-money issuer, payment service firm, broker dealer / asset manager, trading firm, bank or brokerage) or in a law firm supporting such clients (ideally with some in-house experience).
* Interest in digital currency and blockchain technology.
* Experience working with product teams launching fintech, financial services, investment or similar products.
* Experience working and leading with cross-functional, globally located teams.
* Familiarity with UK/EU regulatory regimes applicable to financial instruments (including MiFID, EMIR, AIFMD) and crypto assets (e.g. MiCA, AMLD).
* Comfortable challenging the status quo and preconceived notions of what is possible; confidence giving advice on novel products in areas of regulatory ambiguity.
* Excellent judgement, analytical rigour, clear and direct written and oral communication skills, and business pragmatism.

**Legal Counsel**
CBRE requires a business focussed Legal Counsel to support its Global Workplace Solutions ("GWS") Enterprise Accounts Division in the Europe, Middle East, and Africa ("EMEA") region.
The role entails a full range of legal, risk and governance issues which affect and are integral to facilities management and project services contracts. More specifically, the role will support the Data Centre Services (DCS) division in GWS.
**What You'll Do**
-As a member of the legal team, is responsible for all aspects of legal work, including contract reviews, drafting, and governance, this role requires high attention to detail, organisation, commercial insight, communication skills, determination and flexibility to support the different business needs.
-Duties will be to assist other Legal Counsels in the team, and members of the business with the contractual aspects involved in the sales and bidding processes - e.g., carrying out contract reviews and summaries, negotiating, assisting with internal approvals, and drafting mark-ups or commentary on client contracts at all stages of the contract lifecycle.
-Put in place Local Country Agreements (LCAs) that sit under our global Master Services Agreements (MSAs). The LCAs are made between the CBRE local entity or affiliate and the client's local entity. This entails reviewing the MSA to determine whether there are any local jurisdictional or legal issues that need to be covered off or addressed in the LCA. For example, signing/execution formalities, pricing/payment terms, employee issues and insurance provisions all potentially have a local law nuance that needs to be captures in the LCA.
-The role also requires extensive stakeholder management in multiple jurisdictions, liaising with other regional Legal teams, Transition teams and in-country ops, pricing and commercial teams to ensure the LCAs reflect the local pricing and scope.
-Supports all aspects of deal negotiation, terms, and conditions of complex outsourcing and project management contracts, also providing input with regard to the commercial elements of the deals where they impact the legal provisions (e.g., pricing, service levels, governance, audit, exit, etc.).
-Keeps abreast of trends and changes in the laws in EMEA affecting the business and proactively communicate them to the business.
-Provides legal advice on an "ad hoc" basis in response to steady-state or business as usual contract queries and disputes and other legal issues as they arise.
-Has the ability to isolate complex legal issues and to provide prompt, concise and commercially focused legal advice, while balancing risks and benefits and being able to communicate these issues effectively.
**What You'll Need**
-Qualified in England and Wales, registered and currently practising lawyer with a minimum of 3 years PQE.
-A demonstrable track record of broad based commercial and contractual law experience and good knowledge of contract and commercial law.
-Knowledge of Data Protection regulations.
-Commercial law experience across multiple jurisdictions working with multinational companies.
-Knowledge of Facilities Management services and Projects is desirable but not essential
-In addition to English, fluency in 1 or more European language is desirable but not essential
