Role Profile:
Working closely with the General Counsel, you will advise on a range of interesting and diverse legal workload covering a number of international locations. Responsibilities include::
Risk
- Maintain best practice in legal, reputational and operational risk management.
- Identify, analyse and propose mitigation for legal, reputational and operational risks arising from client mandates.
- Support the ongoing development of a strong compliance culture.
- Assist client facing teams in maintaining confidentiality and legal privilege where appropriate
Contractual
- Maintaining our existing global terms of business, supplementary product terms, jurisdiction terms and data processing terms, register of "special terms" clients and the global terms of business manual.
- Review commercial contracts (e.g. NDAs, supplier contracts and licence agreements) from a legal risk perspective and assist directors and senior management to negotiate such contracts when required.
- Draft and maintain various intra-group agreements including outsourcing agreements, service agreements, management charge letters and outsourcing agreements.
- Assist with a project to automate our engagement letters and additional documents across all locations to ensure global consistency and best practice.
- Assist with advising directors and senior management to negotiate bespoke client terms of business when required.
Regulatory
- Assist with advising on outsourcing issues.
- Assist with advising on obligations arising under applicable codes of practice and other codes and guidance notes published by regulators.
- Assist on regulatory licence applications, and the process for ending existing registrations.
- Maintain legal and regulatory small print bank.
- Advise on the legal and regulatory issues regarding overseas working.
- Advise on automatic exchange of information laws and regulations including FATCA, CRS DAC6 and MDR.
- In conjunction with colleagues in our Risk & Compliance team, assist on advising on AML issues including eligible introducer letters and the legal aspects of ABC, SOW/SOF and other CDD related issues.
Compliance
- Prepare papers for local boards and senior management on relevant legal and regulatory issues.
- Attend quarterly board meetings, if required.
- Assist in managing senior executive and key stake holder relationships across our locations, if required.
- Provide legal input on policies, procedures and guidance notes.
Internal Projects
- Assist with preparing the legal section of ILA/SOGA forms. Other colleagues will deal with all governance aspects associated with internal licensing.
- Assist with advising on new products, entries into new jurisdictions, office moves, acquisitions and disposals, if required.
- Assist with a project to review, create and update the corporate and trust precedents used by client facing teams in all locations.
- Maintain & develop the existing knowhow platform used by the in-house legal team.
- Advise/assist on a wide range of issues, from data protection, sanctions and conflicts of interest and related mitigation measures.
- Assist client facing teams with responses to client supplier queries in areas such as modern slavery and insurance.
- Assist client facing teams in all our locations with ad hoc legal queries on company law, trust law and contractual and other matters.
Candidate Requirements:
- Commercial lawyer with circa 1-4 years PQE and ideally with experience of corporate/ funds law.

This position requires excellent communication skills although the main focus will be pre-contract reviewing legal contracts.
The ideal Legal Counsel will have gained in the region of 1 - 2 years PQ experience working in a suitable construction company and ideally possess c 3 years legal experience as a minimum and exceptional organizational, analytical, and interpersonal skills. An individual qualified as a solicitor in England or Wales or equivalent. Must have construction and contractor experience.

Required Attributes and Experience
